Everything your startup runs on, in one workspace
Raise, share, sign and keep the books on who owns what without stitching tools together. One set of files, one list of people, one audit trail.
Investor search
Funds and angels that back your stage, sector and region, with a shortlist to track who you contact.
Data rooms
Each investor group sees exactly what you choose, and you see what they read.
E-signatures
Contracts signed in the order you set, sealed with a certificate when they finish.
Cap table
SAFEs, priced rounds and options with the math done. Each holder sees only their own stake.
Drive
Folders, versions and search under it all, so nothing needs a second copy.
Contract library
Standard SAFEs, NDAs and offer letters, ready to fill in and send.
Also in every workspace
- Your domain and branding
- Email from your own address
- AI field placement
- Templates
- API and webhooks
- Full audit log
One price instead of a stack of subscriptions
A data room, an e-signature tool, cap table software and an investor database are usually four bills, two of them per seat. Hereby is one price for the whole workspace, so adding a person costs nothing.

Know who to raise from, and who owns what after
Search funds and angels by stage, sector, region and check size, keep a shortlist of who you are talking to, and record every SAFE and round on a cap table that does the dilution math for you.
The math done for you
SAFEs convert, option pools top up and fully diluted ownership updates when you record a round.
Holders see their own stake
Invite shareholders and employees; each sees only their own holdings and vesting.
Model the next round
Try a valuation and raise before you sign and see what everyone owns after.
Search in plain words
Describe the investor you need and AI turns it into filters, or set them yourself.
Filters that matter
Stage, sector, region, check size and whether they lead, from public filings and their own sites.
A shortlist, not a spreadsheet
Track who to contact, who you met and who committed, next to the room you share with them.
Give every investor exactly the access you mean to give
Turn any folder into a room. Each group of viewers gets its own link, sign-in rule, NDA and permissions, down to a single file. Preview the room as any group before you send a link.
Viewer groups
Lead investors download, Bidder B only views, and counsel sees a folder nobody else knows exists.
NDA at the door
Clickwrap or a full e-signature before the first page loads, signed once and filed for you.
Watermarks that hold
The viewer's email, IP address and time are burned into every page image and download.
Page-level analytics
Who opened what, for how long, down to the page. A digest lands in your inbox each morning.
Q&A and upload requests
Questions and diligence uploads stay inside the room, answered privately or published to its FAQ.
Revoke in one click
Access ends at once, open sessions included. At closing, export the room with its full record.
Contracts signed in the order you set, sealed the moment they finish
Upload a PDF and let the AI builder find the parties and place the fields, or start from a template. Route it one after another, side by side, or both, and Hereby handles the reminders.
AI field placement
Drop in a 40-page agreement. Signature, date and initial fields land where each party needs them.
Signing order with dependencies
Investors sign in parallel, the company secretary only after both of them.
Templates
Offer letters, NDAs and board consents go out in a few clicks with roles already set.
Sealed with a certificate
Each finished PDF carries a certificate of completion with document hashes, IPs and timestamps, sealed so any later change shows.
Anyone can verify
Counterparties and auditors check a signed PDF on a public page, without an account.
Reminders and expiry
Polite reminders go out on your schedule; unsigned envelopes expire when you say.
One round, one record
Here is a seed or Series A round in Hereby, from the first investor search to the updated cap table.
Find your investors
Search funds that back your stage and sector, and shortlist the ones to contact.
Open the room
Share the data room with each fund. They sign your NDA before the first page loads.
Diligence you can measure
See which pages they read and for how long, and answer their questions in the room.
Sign the round
Send the round's documents for signature from the files already in the room.
Update the cap table
Record the round and every holder sees their new stake. The full record stays in one place.
Your most sensitive files stay private
Board papers, the cap table, investor conversations and contracts all live in Hereby, so every workspace is locked down by default and every access is on record.
Isolation by design
Every query is scoped to its workspace. Another workspace's files are not just forbidden; they are invisible.
Access down to a single file
Drives, rooms and the cap table each have their own permissions, so people see only what they need.
No passwords to leak
Members and viewers sign in with one-time email codes. Tokens and codes are stored hashed.
View-only means view-only
View-only viewers get watermarked page images, never the original file.
Every access on record
Views, downloads, signatures and changes go into a tamper-evident audit log you can export.
Continuous backups
The database is replicated off-site continuously, so a bad day on one server is not a bad day for your records.

What founders ask before they switch
Do you really not charge per user?
Yes. Every plan includes unlimited members. The price depends on active data rooms, envelopes and storage, never on headcount.
Are Hereby signatures legally binding?
Hereby provides standard electronic signatures with a full audit trail and a sealed certificate of completion, the kind recognised for ordinary commercial contracts under the US ESIGN Act and UETA and the EU's eIDAS regulation. Some documents, such as wills or certain filings, need other forms; check with your lawyer.
What do investors need to open a data room?
A browser and their email address. They confirm it with a one-time code. There is no account to create and nothing to install.
Can rooms and signing pages run on our own domain?
Yes, on Team and Pro / Advisor. Add a domain such as deals.yourcompany.com, set one DNS record, and Hereby takes care of the certificate.
What happens to our documents if we leave?
They stay yours. Download any room as an archive with its documents, NDAs, Q&A and audit log, and every signed PDF with its certificate.
We are a law firm or advisor. Does Hereby work for client matters?
Yes. Run each client in its own workspace, put rooms and signing pages on your own domain, and give every person on the matter access without buying seats.
